Version 2026-06-27 · effective 2026-06-27. These Terms apply to your use of BharatRouter.

Operating entity. BharatRouter is a brand and product ofKrutrim SI Designs Private Limited (a Krutrim group company), the supplier of record for first-party Models and the entity behind this service. Registered office: 8th Floor, Wing C, Prestige RMZ Startech, Block C, Industrial Layout, Hosur Road, Koramangala, Bengaluru, Karnataka 560095, India. GSTIN 29AAKCK1411A1Z1 · PAN AAKCK1411A. In these Terms, "BharatRouter", "we", "us" and "our" refer to Krutrim SI Designs Private Limited, and "you" / "your" refer to the individual or organisation using the Service. If you do not agree, do not use the Service.

1. Definitions

"Service" / "Platform" — the BharatRouter API gateway and multi-model marketplace, including the website, dashboard, APIs and documentation. "Models" — AI models accessible via the Platform. "Model Providers" — first-party (Krutrim Cloud) and third-party suppliers of Models. "Credits" — prepaid balance redeemable only for the Service. "Fees" — charges per the pricing page. "BYOK" (Bring Your Own Key) — your own upstream Model Provider key used through the Platform. "Customer Content" — the prompts, inputs, files and outputs you send or receive through the Service. "Tax Invoice" — a GST-compliant invoice. DPDP terms (Data Fiduciary / Data Processor / Data Principal) are as defined in the Digital Personal Data Protection Act, 2023 ("DPDP Act").

2. The Service

BharatRouter is an India-first AI inference gateway and marketplace offering unified access to Indic and global Models over a single API, with India data-residency options, INR billing, routing/failover, and BYOK. (OpenAI-compatibility is a convenience of the interface, not the substance of the Service.) We may add, change, deprecate, or remove features, Models, or routes; we will give reasonable notice of material adverse changes where practicable.

3. Eligibility & Accounts

3.1 You must be at least 18 years old and capable of forming a binding contract. If you accept on behalf of an organisation, you represent that you are authorised to bind it, and "you" includes that organisation.

3.2 Acceptance is recorded at the organisation level: the organisation owner's acceptance binds the organisation and all of its members, API keys, and automated agents. An automated client may acknowledge a new version programmatically; such acknowledgement is recorded against the organisation.

3.3 You are responsible for the security and confidentiality of your API keys and for all activity under your account. Notify us promptly of any suspected compromise. One account per organisation; creating multiple accounts to circumvent limits, trials, or bans is prohibited.

4. Acceptable Use

Use is governed by the Acceptable Use Policy (incorporated by reference). You will not, and will not permit others to: (a) use the Service for unlawful, infringing, fraudulent, deceptive, or harmful purposes; (b) generate, store, or distribute content prohibited by law or by a Model Provider's policy (including CSAM, content that incites violence, or unlawful surveillance); (c) resell, sublicense, or provide API access to third parties, or build a competing gateway or aggregation service, except as expressly permitted; (d) scrape, distil, reverse-engineer, or use outputs to train a competing model where a Model Provider prohibits it; (e) attempt to access other tenants' data, defeat isolation, or probe security except under a sanctioned red-teaming arrangement; (f) use jailbreak or prompt-injection techniques to bypass safety controls outside sanctioned testing; or (g) circumvent rate limits, billing, metering, or account bans. We may remove content or suspend access to enforce this section.

5. Models & Model Provider Terms

BharatRouter acts as an intermediary and aggregator. Each Model is supplied by a Model Provider that retains sole control over its Model and may set its own terms, pricing, and availability. For first-party Models the supplier of record is Krutrim SI Designs Private Limited; for third-party Models the supplier of record is the relevant Model Provider, and additional terms set out in theMarketplace Seller Agreement may apply to that supply. BharatRouter disclaims liability for any suspension, degradation, modification, or withdrawal of a Model by a Model Provider. Where you use BYOK, you are bound by your upstream provider's terms and are responsible for your use of that key. Outputs are generated by statistical models, may be inaccurate or offensive, and must not be relied upon as professional advice; you are responsible for evaluating outputs before use.

6. Fees, Credits & Payment

6.1 Credits are prepaid. You purchase Credits which are drawn down as you consume the Service. Pricing is per the pricing page and may change prospectively on notice; rate changes never re-price already-consumed usage.

6.2 Nature of Credits. Credits are not legal tender, have no cash value, and are not redeemable, refundable, or exchangeable for money (except where law requires); they are non-transferable, confer no property right, and are usable only for the Service.

6.3 GST is charged at the time of credit purchase (top-up). Credits are treated as an advance for the Service; a GST Tax Invoice is issued at top-up and applicable GST (CGST+SGST or IGST by place of supply) is added to the Credit amount. Consumption of Credits draws down the balance and does not attract further GST.

6.4 GSTIN. Provide a valid GSTIN to receive a B2B Tax Invoice eligible for input tax credit. The place of supply is determined from your GSTIN state; for unregistered customers it is determined from your billing address.

6.5 Non-refundability. Credits are non-refundable once purchased, except where required by law. GST already remitted on a top-up is not reversed on expiry or non-use.

6.6 Currency / payment. Fees are payable in INR via our payment processor (Razorpay). Foreign-currency billing is not currently available. You authorise us and our processor to charge your selected payment method for top-ups you initiate.

6.7 Consumption order & metering. Credits are consumed earliest-expiry first (free or promotional before paid). BharatRouter's measurement of usage is authoritative absent manifest error.

6.8 Suspension & disputes. We may suspend the Service for non-payment or a zero balance. Disputes regarding an invoice must be raised in writing within 15 days of the invoice date, failing which the invoice is deemed accepted.

7. Taxes (GST)

All Fees are exclusive of taxes; applicable GST is added and a Tax Invoice issued by Krutrim SI Designs Private Limited under SAC 998315. GST has been and will be charged in accordance with the CGST Act 2017, IGST Act 2017 and applicable rules; any revision in rates or statutory levies applies from its effective date. Credits do not offset transaction-based taxes. You are responsible for any taxes arising from your own use or onward supply.

8. Credit Expiry

Credits expire and are forfeited on expiry without refund or extension:

Expiry dates are shown at checkout and in your account. Closed-loop Credits are not a prepaid payment instrument and are usable only for the Service.

9. Service Levels & Service Credits

9.1 Service levels, where offered, are set out in the applicable SLA schedule or enterprise contract.

9.2 Service Credits are your sole and exclusive remedy for any failure to meet a service level.

9.3 Claim window: you must request a Service Credit within 30 days of the incident; un-claimed credits are forfeited.

9.4 Cap: Service Credits will not exceed 50% of the affected service's fees for the affected month, up to the value of the disruption.

9.5 Exclusions: force majeure; BYOK or upstream Model Provider outages; beta/preview features; customer-caused issues; and suspension for cause.

9.6 Validity: granted Service Credits are valid for 12 months by default (configurable per contract).

10. Customer Content, Data & Privacy (DPDP)

Inference is zero-retention by default; Customer Content is not logged unless you explicitly opt in. As between the parties, you retain all rights in Customer Content and grant us a limited licence to process it solely to provide the Service. BharatRouter is a Data Fiduciary for account data and a Data Processor for Customer Content; processing is governed by ourPrivacy Policy, DPDP Declaration, and, where applicable, a Data Processing Addendum. You are responsible for having a lawful basis for the data you submit and for any notices or consents required from your own users.

11. Confidentiality

Each party may receive non-public information of the other ("Confidential Information"). The recipient will use it only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel and advisers bound by confidentiality. This does not apply to information that is public, independently developed, or lawfully received from a third party, or where disclosure is required by law (with notice where permitted).

12. Intellectual Property & Feedback

We and our licensors own all rights in the Platform, including its software, design, and documentation; no rights are granted except the limited right to use the Service under these Terms. You own your Customer Content. If you give us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them to improve the Service, with no obligation to you.

13. Beta & Preview Features

Features labelled beta, preview, or experimental are provided "as is", may change or be withdrawn at any time, carry no service-level commitment, and are excluded from Service Credits. Do not use them for production-critical or regulated workloads.

14. Suspension & Termination

14.1 You may stop using the Service and close your account at any time. We may terminate or suspend for material breach not cured within 15 days of notice. We may suspend immediately, without a cure period, to protect the Platform, other customers, or to comply with law, and for non-payment.

14.2 On termination, your right to use the Service ceases. Unused Credits are treated per §6 and §8 (non-refundable; forfeited on account closure or termination for cause). Sections that by their nature should survive (including §§6–7, 11, 12, 15–19, 21) survive termination.

15. Disclaimers

To the fullest extent permitted by law, the Service and Models are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. We do not warrant that outputs are accurate, complete, or suitable for any purpose.

16. Limitation of Liability

To the maximum extent permitted by law, BharatRouter's aggregate liability arising out of or relating to the Service is limited to the Fees paid by you in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, special, consequential, exemplary, or lost-profits/lost-data damages. These limits do not apply to your payment obligations, a party's indemnity obligations, or liability that cannot be excluded by law.

17. Indemnification

You will indemnify us against third-party claims arising from your Customer Content, your use of the Service, or your breach of §4 (Acceptable Use). We will indemnify you against third-party claims that the Platform (excluding Models and third-party components) infringes their intellectual property, except to the extent the claim arises from your content, BYOK use, combinations, or modifications. The indemnified party must give prompt notice and reasonable cooperation; the indemnifying party controls the defence and settlement (no settlement imposing liability on the other without consent).

18. Changes to Terms

We may update these Terms on notice; material changes will be notified by email or by posting with a reasonable notice period. Each version is tracked; where required, you will be asked to re-accept before continued use. Continued use of the Service after the effective date constitutes acceptance.

19. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. The parties will attempt good-faith resolution first. Failing that, disputes will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator, seat and venue Bengaluru, Karnataka, in English. Subject to arbitration, the courts at Bengaluru, Karnataka have exclusive jurisdiction. Either party may seek interim relief from those courts.

20. Electronic Communications & Consent

You consent to receive communications electronically and to entering this agreement electronically. Your acceptance (including a click-wrap "I agree") is recorded, with version and timestamp, as proof of consent and is admissible as evidence.

21. General

21.1 Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale of assets.

21.2 Force majeure. Neither party is liable for delay or failure due to events beyond its reasonable control.

21.3 Severability & waiver. If a provision is unenforceable, the rest remains in effect; failure to enforce a right is not a waiver.

21.4 Notices. Legal notices to us go to[email protected]; notices to you may be sent to your account email or posted in the dashboard.

21.5 Relationship. The parties are independent contractors; nothing creates a partnership, agency, or employment relationship.

21.6 Export & sanctions. You will comply with applicable export-control and sanctions laws and will not use the Service where prohibited.

21.7 Entire agreement. These Terms, the Privacy Policy, the Acceptable Use Policy, and any order form or enterprise agreement are the entire agreement and supersede prior understandings. An executed Master Services Agreement prevails over any conflict with these Terms.
